These GRIN Affiliate Revshare Terms of Service (“Affiliate Revshare Terms”) are supplemental to and form a part of the GRIN Subscription Services Agreement, located at https://grin.co/legal-subscription-services-agreement/, unless the parties have fully executed an agreement that is intended to govern the purchase of the Grin Platform Services, between GRIN Technologies Inc. (“Grin”) and you as a Customer (the “Agreement”). These Affiliate Revshare Terms apply to your access and use of the Grin Affiliate Revshare features and functionality contained within the Services, including Affiliate Links (as defined herein). All references to the “Services” in the Agreement shall be deemed to include Affiliate Links. Except as expressly provided in these Affiliate Revshare Terms, all of the terms and provisions of the Agreement shall remain unmodified by these Affiliate Revshare Terms and will remain in full force and effect. To the extent there is a conflict between these Affiliate Revshare Terms and the Agreement, the Affiliate Revshare Terms shall supersede the Agreement specifically as it relates to Customer’s use of the Affiliate Links. Any capitalized terms used herein have the same meaning as in the Agreement.
Acceptance of Affiliate Revshare Terms. Please review these Affiliate Revshare Terms carefully. By accessing Grin Affiliate Revshare or using the Affiliate Links, you agree to comply with and be legally bound by the terms, conditions and restrictions of these Affiliate Revshare Terms. BY ACCEPTING THESE GRIN AFFILIATE REVSHARE TERMS OR ACCESSING THE AFFILIATE LINKS, YOU AGREE TO BE LEGALLY BOUND BY THESE TERMS AND CONDITIONS AND REPRESENT TO GRIN THAT YOU HAVE THE AUTHORITY TO ENTER INTO THESE GRIN AI TERMS. IF YOU DO NOT AGREE TO BE BOUND BY THESE AFFILIATE REVSHARE TERMS, YOU SHOULD NOT CLICK ACCEPTANCE OF THESE GRIN AFFILIATE REVSHARE TERMS OR ACCESS THE AFFILIATE LINKS.
Affiliate Links; Affiliate Revenue Share. “Affiliate Link(s)” mean a URL with a unique identification generated by the Services that allows Grin and Customer to attribute web traffic and conversions for the purpose of Customer’s payment of a commission to a Creator and payment of the Net Revenue Share to Grin in accordance with these Affiliate Revshare Terms. “Net Affiliate Revenue” means the total Affiliate Link revenue generated in a calendar month minus any amounts resulting from a return, refund or cancellation granted to the purchaser associated with the conversion for a period of thirty (30) days following the date of the conversion.
Invoicing. On or about the first day of each calendar month, invoices showing Customer’s Net Affiliate Revenue for the prior calendar month and the Affiliate Revenue Share amount that is due and payable by Customer to Grin. “Affiliate Revenue Share” is equal to the Net Affiliate Revenue in any given calendar month multiplied by the Affiliate Revshare percentage associated with Customer’s chosen Grin OS package, located at: https://grin.co/grin-packages/.
Payment of Affiliate Revenue Share. Unless otherwise stated on an invoice, Customer must be enrolled in Grin’s automatic payment program and agrees to submit and maintain an active credit card on file with Grin at all times during this Agreement. Customer’s credit card on file will be automatically charged for all monthly Affiliate Revenue Share amounts. Grin does not accept payment by paper check. Any invoiced amounts not timely paid will accrue interest at the rate of one and a half percent (1.5%) per month. If any undisputed amount owed by Customer is fifteen (15) days or more overdue, Grin may, with three (3) days’ prior notice to Customer, without limiting Grin’s other rights and remedies, suspend Customer’s access to the Services until such amounts are paid in full. Except as otherwise set forth in these Affiliate Revshare Terms, all provisions in the Agreement regarding Fees shall apply to the payment of the Affiliate Revenue Share.
